Donor Terms and Conditions

THE SHAMAAZI PROJECT LTD (operating all Shamaazi donor products under licence)

1. About these Terms

These terms and conditions ("Terms") govern your access to and use of the donation services operated by THE SHAMAAZI PROJECT LTD ("we", "us" or "Shamaazi"). Our services may be made available via websites, applications, web pages or other electronic services that we operate (together, the "Services"). All of our Services are operated by us under licence from TripleQ Corporation (incorporation number 0022562) whose registered address is Ajman Free Zone Authority, Rasheed bin Saeed Al Maktoum Street, PO BOX 918001, Ajman / UAE ("TripleQ").

These Terms apply to all donors and other users of the Services ("you" or "users"). Please read these Terms carefully as they affect your rights and obligations under the law.

If you do not agree to these Terms in full, please do not register for or use the Services.

Please also see our Privacy Notice for information about how we collect and use personal data when you use the Services.

2. Product-specific sections

These Terms apply across all Shamaazi donor products. Additional product-specific information is set out in Section 23 (Product Terms) for:

  • MyTenNights
  • MyTenDays
  • MyFridays

3. Eligibility

Use of the Services is open to any user aged 18 years or over. By using the Services, you confirm that you meet this requirement.

4. Changes to these Terms

We may amend these Terms from time to time. We will notify you of changes by posting updated Terms on the relevant Service. By continuing to use the Services after updated Terms are posted, you confirm that you accept the then-current Terms.

5. Registration and account security

Some parts of the Services may require registration. We may allow access to some features without registration, but we reserve the right to withdraw access without registration at any time.

We are not obliged to permit anyone to register and we reserve the right to refuse, suspend or terminate registration at any time for any reason, subject to applicable law.

You are responsible for maintaining the confidentiality of your login details and for all activity carried out through your account.

  • You must keep your account information accurate and up to date.
  • You must not allow any other person to use your login details.
  • If we suspect misuse or a security issue, we may require you to change your password and/or suspend access until the issue is resolved.

6. Subscriptions and renewals (where offered)

We may offer subscription-based services or features. If you subscribe, your subscription will last for the agreed subscription period.

Where we offer auto-renewal, we will only renew your subscription if you have agreed to auto-renewal. We will provide clear notice before renewal, including the renewal date and any applicable fees, and you can cancel auto-renewal at any time through your account settings or by contacting us.

7. Donation services and payment processing

The Services allow you to make, split and/or schedule charitable donations to charities and other eligible organisations ("Recipient Charities"). We use third-party payment processors to facilitate payments.

If you schedule donations to be made on a future date or time, we will arrange for the payment (or multiple payments) to be processed in accordance with your schedule. You can manage and cancel scheduled donations through your profile/dashboard until the time the scheduled payment is processed.

Donations made through the Services are received by a designated donor-advised fund operated under our donor-advised fund partner  (the "DAF Partner"), which is a registered charity in the relevant region (the "MTN Fund"). All tax receipts (including Gift Aid documentation where applicable) are issued by the DAF Partner in your region.

Fund naming and branding: donations made through the Services are received by the MTN Fund, a fund operated under our donor-advised fund partner. For branding and communication purposes, the MTN Fund may be referred to by different names in connection with specific products or campaigns (for example, the “MyFridays Fund” or the “MTD Fund”). These names refer to the same underlying restricted fund and do not affect how donations are held, administered or distributed.  The use of different fund names for branding purposes does not create separate legal entities or alter the role of the donor-advised fund partner.

You understand and agree that the DAF Partner is a charity and may be subject to legal and compliance requirements in relation to acceptance, holding and distribution of funds.

8. Tips, fees and partner commissions

You may choose to pay an optional tip to us when making your donation. If you do, we will collect and retain that amount.

In providing the Services we may also receive commissions or other fees from Recipient Charities or other partner organisations. More information about charges (where applicable) is available in our FAQs on the relevant Service.

9. Gift Aid and tax declarations (where applicable)

If you are asked to confirm whether you want us or the DAF Partner to submit a Gift Aid (or similar) claim on behalf of a Recipient Charity, you are solely responsible for confirming that you and/or your donation meet the criteria for such a claim and that any declarations you make are truthful and complete.

10. Use of donations and responsibility for Recipient Charities

We do not covenant, represent or warrant that any money you donate will be used for any particular appeal, cause or purpose.

Donations are first subject to consideration and grant-making by the DAF Partner. Once a grant has been made, Recipient Charities are responsible for how funds they receive are used, in accordance with their legal obligations.

We undertake due diligence in relation to charities and organisations listed on the Services, but we do not guarantee that any Recipient Charity will be suitable for you. You should consider Recipient Charities carefully before making or scheduling donations.

Any concerns about how a Recipient Charity uses donations must be raised directly with that Recipient Charity.

11. Donation release, withholding and redirection

Where we consider it appropriate (for example, for compliance, fraud prevention or safeguarding purposes), donations may be released to a Recipient Charity in tranches.

Cause splits (where offered): where you set up an automated donation using specific cause allocations and a cause is removed, deactivated or no longer available through a Recipient Charity or the MTN Fund, the relevant portion of your donation may be reallocated to a similar cause offered by that Recipient Charity or fund, or to the first available cause on that charity’s or fund’s cause list. We may reallocate deactivated cause allocations to appropriate alternative routes to the same Recipient Charity.

If a Recipient Charity is removed from the Services (for example due to closure, regulatory concerns, fraud risk, or failure to meet our or the DAF Partner’s requirements), we may pause, withhold or redirect scheduled donations that were due to go to that Recipient Charity.

Where reasonably practicable, we will notify you and give you the option to:

  • select an alternative Recipient Charity; or
  • cancel future scheduled donations.

If we are unable to contact you in time and a scheduled donation is due, that donation may be directed to the MTN Fund for onward charitable distribution by the DAF Partner in accordance with its grant-making policies and legal obligations. Where funds are redirected, we will attempt to inform you via email.

12. Matching and promotional funding (where offered)

From time to time, certain Services may include matching donations, promotional funding, referral-based incentives, prize funds, leaderboards or similar promotional mechanisms (“Matching”). Participation in Matching is optional and subject to the specific rules, limits and conditions applicable to the relevant Service, campaign or promotion, as communicated at the time.

Matching is not guaranteed and may be subject to eligibility requirements, caps, time limits, verification checks and anti-abuse safeguards. We reserve the right to withhold, reduce, delay, withdraw or reallocate any Matching where we reasonably believe that the applicable conditions have not been met, that Matching has been manipulated or abused, or that continued allocation would be inconsistent with the purpose or integrity of the promotion.

Matching amounts (where applicable) are funded separately from your donation and are allocated at our discretion (or that of our donor-advised fund partner), subject to the applicable rules of the relevant Service. Matching may be transferred to recipient charities on a different timetable from your original donation and may be capped at a maximum amount.

Our decision in relation to the availability, allocation or withdrawal of Matching shall be final, subject always to applicable law. The availability or withdrawal of Matching does not affect the validity of your original donation.

12. Refunds

Refunds are not guaranteed.

If you believe a donation was made in error, you may contact us within 7 days of the transaction date and we will review the request.

After the 7 day window, and/or where funds have been accepted, held or distributed by the DAF Partner and/or transferred to a Recipient Charity, refunds are not guaranteed and, if offered, will be at the discretion of the relevant charity (including the DAF Partner) and/or Recipient Charity (as applicable). You should assume that refunds will not be granted.

13. Data protection and communications

When you register with the Services we will ask for certain personal information. Any personal information you provide will be handled in accordance with our Privacy Policy.

You agree that personal information supplied to us will be accurate and kept up to date.

We may use the information you provide to contact you about your account, scheduled donations, receipts, service updates and other operational matters.

We will only send you electronic marketing communications (including by email, WhatsApp or SMS) where you have consented or we are otherwise permitted to do so under applicable law. You may opt out at any time.

14. Acceptable use and abuse of the Services

The Services are provided strictly for the purpose of making charitable donations to Recipient Charities.

You are responsible for any content you post, submit or publish using the Services and you will be personally liable for claims arising from such content (including negligence, defamation, breach of intellectual property or privacy).

You must not publish content that is illegal, offensive, inaccurate, misleading, defamatory or fraudulent.

You agree that you will not:

  • solicit login information or access an account belonging to someone else;
  • bully, intimidate or harass any user;
  • do anything illegal, unlawful, misleading, malicious or discriminatory using the Services;
  • do anything to suggest that your statements are endorsed by us;
  • impersonate any other person;
  • upload files containing viruses, corrupted files or malicious code;
  • attempting to manipulate, circumvent or abuse any matching, promotional or referral-based funding mechanisms.

We reserve the right to remove content, suspend or terminate accounts, and restrict access to the Services at any time, subject to applicable law.

15. Advertising and commercial use

Users are not entitled to advertise to or solicit the custom of other users without our express written consent.

You must not resell or commercially exploit the contents of the Services or use data mining, robots, or similar data gathering and extraction tools to collect user information for unsolicited communications.

16. Our liability

We will operate the Services with reasonable skill and care of an online service provider. Services provided do not extend to detailed monitoring or supervision of user content, comments or communications.

From time to time it may be necessary to suspend access to the Services and such interruptions shall not constitute a breach of these Terms.

We will not be liable for any: (a) business loss; (b) financial or economic loss; (c) consequential loss; (d) loss of data; (e) lost profit; (f) loss of bargain or opportunity; or (g) indirect loss arising as a result of your use of the Services, even if such loss is incurred as a result of our negligence or otherwise.

We will not be liable for any use of the Services other than for the purposes stated in these Terms.

Our total liability to you arising under or in connection with these Terms, whether in contract, tort (including negligence), breach of statutory duty or otherwise, shall not exceed the total sum of donations you have made using the Services in the preceding 12 months (ending on the date the circumstances giving rise to liability arose).

Nothing in these Terms limits liability for fraud or for death or personal injury caused by negligence.

Nothing in these Terms affects your statutory rights as a consumer.

17. Third-party links and partners

We may display links to third-party websites or services. If you choose to follow a link to another website or use third-party services, you do so at your own risk and subject to the third party’s terms.

18. Cancellation and termination

If you wish to cancel your registration, please notify us or use any account deletion tools we provide. We will delete your registration subject to legal and operational requirements.

User-generated content you have posted may remain available on the Services following termination, where applicable.

19. Intellectual property

The format and content of the Services (including any downloadable application or materials) are protected by copyright and other intellectual property rights. All rights are reserved.

You may not reproduce, duplicate, copy, sell, resell, visit or otherwise exploit the Services or any part of them for commercial purposes without our express written consent.

Subject to these Terms, we grant you a non-exclusive, non-transferable licence to download and use the Services for your personal use on devices you personally use.

By providing content for distribution through the Services, you grant us a royalty-free, perpetual, irrevocable licence to use that content to provide and promote the Services.

20. Notice and take-down

If you believe content distributed through the Services is defamatory or infringes intellectual property rights, please notify us in writing with sufficient details to allow us to identify and address the issue.

Any statement made under this clause may be used in court proceedings.

21. General

You shall comply with all foreign and local laws and regulations that apply to your use of the Services in the country where you are located.

These Terms are governed by and construed in accordance with the laws of England and Wales. You and we agree to submit to the non-exclusive jurisdiction of the English courts.

If you breach these Terms and we take no action, we remain entitled to enforce our rights in relation to that breach or any other breach.

We will not be responsible for any breach of these Terms caused by circumstances beyond our reasonable control.

We may make changes to the format of the Services or its content at any time.

23. Product Terms (Product-specific information)

23A. MyTenNights

MyTenNights provides a service for donors to split and automate their donations to Recipient Charities during Ramadan.

Scheduling: donations can be scheduled across the whole of Ramadan or the last ten nights of Ramadan (and any other options available at checkout) in accordance with your chosen donation plan and settings.

23B. MyTenDays

MyTenDays provides a service for donors to split and automate their donations to Recipient Charities across the first ten days of Dhul Hijjah.

23C. MyFridays

MyFridays provides a service for donors to automate donations to Recipient Charities every Friday during the hour of acceptance (as described on the Service).

Scheduling: donations are scheduled to be processed each Friday in accordance with your settings.

23D. GiveMatch

GiveMatch is a Service that enables donors to make donations to participating charities and, where offered, to take part in donation matching or other promotional funding mechanisms.

Donations made through GiveMatch are processed in accordance with these Terms, including the provisions relating to payment processing, restricted funds, donation release, withholding and redirection. Where Matching or promotional funding is offered, it is subject to the “Matching and promotional funding” section above and any additional conditions communicated at the time of the relevant promotion.

Matching and promotional funding made available through GiveMatch is conditional, limited and discretionary, and may be withdrawn or reallocated where eligibility conditions are not met or where misuse or abuse is identified.

Charities participating in GiveMatch are subject to separate charity-facing terms and/or a services agreement governing their participation in the platform. Nothing in these donor Terms creates any obligation on us to provide Matching or promotional funding, nor does it affect how your original donation is held or distributed.
